Kenya Clears Asahi’s $2.3bn Purchase Of Diageo’s East African Business

1 min read

Kenya’s competition regulator has approved Asahi Group’s acquisition of Diageo Kenya Limited and UDV (Kenya) Limited. The transaction would transfer Diageo’s 65% interest in East African Breweries Limited (EABL) and its 53.7% holding in UDV Kenya to the Japanese brewer.

The approval comes with conditions. The combined business must reserve at least 20% of the refrigeration space it provides to retailers for beer and cider brands not owned by EABL or Asahi. EABL must also retain sufficient funds to meet outstanding liabilities.

Diageo agreed to the $2.3bn sale in December 2025 as part of its withdrawal from direct ownership of several African businesses. Regulatory approval removes a major obstacle, but the transaction has not yet closed.
